These Terms of Service ("Terms") govern your access to and use of the Simple Traders platform, content, community, and services (collectively, the "Services"), operated by Triton Trades LLC. By purchasing a membership, product, accessing, or using the Services in any form, you ("You" or "User") acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Description of Services

Simple Traders provides digital educational content related to trading and market strategies, including but not limited to courses, tools, cheatsheets, lessons, mentorship programs (which may include group or one-on-one coaching), live trading screenshares for educational purposes, indicators, affiliate links to recommended third-party platforms, and access to a private community for interaction, trade feedback, and questions. Offerings, pricing, tiers, promotions, or discounts may vary or change at our discretion without notice. We do not provide trading signals, financial advice, investment advice, personalized recommendations, or guarantees of any kind. All content is for general educational purposes only.

The Services are delivered through our designated platforms for access and community participation. Billing, payments, and subscription management are handled exclusively through Whop. You are responsible for any third-party fees or requirements associated with these platforms.

2. Eligibility and User Representations

The Services are intended for individuals who are at least 18 years of age due to the financial and educational nature of the content. By accessing the Services, you represent and warrant that you are at least 18 years old, legally capable of entering into this agreement, and not barred from using the Services under applicable laws. If you are accessing the Services on behalf of an entity, you represent that you have authority to bind that entity.

You further represent that you will comply with all applicable laws, including export controls and international sanctions, and that you are not located in a jurisdiction where access to the Services is prohibited.

3. User Responsibilities and Community Guidelines

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Account sharing, redistribution of content, or granting access to non-paying individuals is strictly prohibited and may result in immediate termination without refund.

You must conduct yourself respectfully within the community and abide by all guidelines, including a non-disclosure provision: All content shared in the Services (including but not limited to courses, tools, screenshares, discussions, and user submissions) is confidential and must remain within the platform. You agree not to disclose, share, copy, or use such content externally without our prior written consent.

Violations may include, but are not limited to: harassment, inappropriate behavior, disruptive conduct, spamming, promoting other services or groups, disrespecting or violating other members' privacy, or attempts to undermine the community or Services. We reserve the right to investigate and take appropriate action, including termination.

4. Intellectual Property

All content within the Services, including educational materials, lessons, tools, indicators, screenshares, community posts by staff, branding, and any other digital resources, is the exclusive property of Triton Trades LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the content solely for your personal, non-commercial educational purposes. You may not copy, repost, distribute, share, resell, modify, or reproduce any content without our express written permission. Unauthorized use will result in immediate termination and may lead to legal action, including claims for damages.

If you submit testimonials, comments, messages, wins, or other content ("User Content") to the Services, you grant Triton Trades LLC a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, modify, and distribute such User Content for marketing, advertising, or promotional purposes, including on social media or our website.

5. No Financial or Investment Advice; Risk Disclosures

The Services provide educational content only. We are not registered financial advisors, brokers, or investment professionals in any jurisdiction. Nothing in the Services constitutes financial advice, investment advice, personalized trading guidance, signals, recommendations, or endorsements to buy, sell, or trade any financial instrument. You are solely responsible for your trading decisions, outcomes, and any losses incurred.

Trading futures or any financial instruments involves substantial risk of loss and is not suitable for all individuals. Past performance is not indicative of future results, and there are no guarantees of profits or positive outcomes. You should not invest money you cannot afford to lose. We make no representations or warranties regarding the accuracy, completeness, or suitability of any information provided. Always consult qualified legal, tax, financial, or investment professionals regarding your specific situation before making any decisions.

We do not recommend using technical analysis as the sole basis for trading decisions or making hurried trades. Hypothetical or simulated performance results have inherent limitations and do not represent actual trading.

The Services may include affiliate links to third-party platforms or products we recommend. If you click on or purchase through these links, we may receive compensation at no additional cost to you. We are not responsible for the content, privacy practices, products, or services of any third-party sites or affiliates. Your interactions with them are governed by their terms and policies.

7. Service Modifications and Availability

We may update, modify, suspend, or discontinue the Services or any features at any time without notice or liability. This includes changes to educational structure, offerings, schedules, or community formats. In the unlikely event of permanent discontinuation, access will end without refund or compensation. We do not guarantee uninterrupted access or error-free operation.

8. Membership, Billing, and Refunds

All billing, payments, and subscription management are handled through Whop. You are solely responsible for managing your subscription, updating payment information, and canceling before renewal. Subscriptions renew automatically based on your selected term.

All sales are final once access is granted. Refer to our separate Refund Policy for details. Lifetime access means access for the duration of the Services' operation and is non-transferable.

9. Termination of Access

We may suspend or terminate your access at our sole discretion for any violation of these Terms or applicable laws. Reasons include, but are not limited to: sharing/reproducing content, violating confidentiality, chargebacks, harassment, misconduct, or misuse of the Services. Termination does not entitle you to refunds or compensation.

To the fullest extent permitted by law, Triton Trades LLC, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to the Services, including but not limited to financial losses, trading losses, missed opportunities, or decisions based on our content. Your sole remedy is to discontinue use of the Services.

You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

We collect and process personal information as necessary to provide the Services, in accordance with our Privacy Policy. We implement reasonable security measures to protect your data, but no system is infallible.

You consent to our data practices by using the Services. We are not liable for third-party privacy practices.

12. . Breaches of These Terms

Without prejudice to our other rights, if you breach these Terms in any way, or if we reasonably suspect a breach, we may:

• Send you one or more formal warnings;

• Temporarily suspend your access;

• Permanently prohibit you from accessing the Services;

• Block computers using your IP address;

• Contact your internet service provider to request access blocking;

• Commence legal action against you for breach of contract or otherwise; and/or

• Suspend or delete your account.

You must not circumvent any suspension, prohibition, or blocking, including by creating a new account.

These Terms are governed by the laws of the State of Wyoming, United States, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the courts of Wyoming.
